Toskr is in early access. These Terms will be reviewed by counsel before public launch and may change.
These Terms of Service ("Terms") govern your access to and use of the services provided by Toskr ("Toskr," "we," "us," or "our"), including our website at toskr.io and all associated hosted Matrix server infrastructure (collectively, the "Service"). By creating an account or using the Service in any way, you agree to be bound by these Terms. If you do not agree, do not use the Service.
You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you meet this requirement.
Toskr provides managed Matrix server hosting. When you subscribe to a plan, we provision and maintain a Matrix homeserver on your behalf, accessible at a subdomain of toskr.io or a custom domain you configure. The Matrix protocol is an open standard; the underlying server software (Synapse) and client software (Element) are open-source projects released under the Apache 2.0 license. Toskr is not affiliated with, endorsed by, or officially connected to the Matrix.org Foundation or Element.
You are responsible for maintaining the security of your account credentials. You must notify us immediately at support@toskr.io if you believe your account has been compromised. You are responsible for all activity that occurs under your account, including the actions of users you add to your Matrix server. You may not share your account with others or create accounts on behalf of third parties without authorization.
All plans are billed monthly or annually, in advance. Payment is due at the start of each billing cycle. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel.
No refunds. All payments are non-refundable. If you cancel your subscription, you will retain access to the Service through the end of your current billing period. No prorated refunds or credits will be issued for unused time, regardless of the reason for cancellation.
We reserve the right to change our pricing at any time. Continued use of the Service after a price change constitutes acceptance of the new pricing.
If a payment fails, we may suspend your Service until payment is received. Accounts with outstanding balances may be terminated at our discretion.
You agree not to use the Service to:
We reserve the right, in our sole discretion, to determine what constitutes a violation of this section. We may take action, including immediate suspension or termination, without prior notice if we determine that your use of the Service poses a risk to our infrastructure, other customers, or third parties.
While we advertise unlimited bandwidth, this refers to standard, good-faith Matrix server usage. We reserve the right to throttle, suspend, or terminate accounts that consume bandwidth or resources at a level materially disproportionate to normal usage patterns, or that negatively impact the performance of our infrastructure or other customers' servers.
Use of automated bots, bridges to third-party platforms, mass messaging systems, or other tools that generate unusual traffic loads may be restricted or prohibited at our discretion. We may suspend or restrict such accounts at any time, with or without notice.
If you enable federation on your Matrix server, your server will communicate with other Matrix homeservers on the open Matrix network. You acknowledge that federated communication involves the exchange of data with third-party servers outside of our control. You are responsible for ensuring your use of federation complies with applicable laws, including privacy laws governing the transfer of data to third-party servers.
We are not responsible for content received from federated servers, nor for the actions of users or servers on the broader Matrix network.
We reserve the right to suspend or terminate your account and access to the Service at any time, with or without cause, and with or without notice, including but not limited to cases involving:
You may cancel your account at any time through your account settings. Upon cancellation, your Service will remain active until the end of your current billing period.
Upon cancellation or termination of your account, your data, including all Matrix server content, messages, files, and user accounts, will be retained for up to 30 days, after which it will be permanently deleted. If you actively delete your account through the portal, your data will be deleted within 24 hours.
We strongly recommend exporting any data you wish to retain before cancelling. We are not responsible for any data loss following cancellation or termination.
We aim to provide a reliable service but do not guarantee uninterrupted or error-free operation. The Service is provided "as is" and "as available." We may perform maintenance, upgrades, or changes to the Service at any time, with or without notice. We will make reasonable efforts to provide advance notice of planned downtime.
We are not liable for any losses, damages, or costs resulting from service interruptions, data loss, or degraded performance, whether caused by planned maintenance, technical failures, third-party outages, or any other cause.
The Toskr name, logo, and branding are our intellectual property. The underlying software used to power your Matrix server (Synapse, Element) is open-source software licensed under the Apache 2.0 license and is the property of their respective developers.
You retain ownership of all content you or your users generate on your Matrix server. By using the Service, you grant us a limited license to store and transmit your content solely as necessary to provide the Service.
To the maximum extent permitted by applicable law, the Service is provided without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be secure, error-free, or available at any particular time.
To the maximum extent permitted by applicable law, Toskr and its owners, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, revenue, or profits, arising out of or in connection with your use of the Service, even if we have been advised of the possibility of such damages.
Our total liability to you for any claim arising out of or relating to these Terms or the Service shall not exceed the amount you paid to us in the 3 months preceding the claim.
You agree to indemnify, defend, and hold harmless Toskr and its owners, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of or in connection with your use of the Service, your violation of these Terms, or your violation of any rights of a third party.
We reserve the right to modify these Terms at any time. The current version is always posted on the Service. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service and cancel your account.
These Terms shall be governed by and construed in accordance with the laws of the United States. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in [State to be determined upon incorporation].
