Toskr Terms of Service

1. Agreement and parties

These Terms of Service (the “Terms”) are an agreement between Toskr L.L.C. (“Toskr,” “we,” “us,” or “our”) and the person or entity that creates or pays for a Toskr account (“Customer,” “you,” or “your”).

If you accept these Terms for an organization, you represent that you have authority to bind that organization. If you do not have that authority, you may not accept these Terms for it.

Eligibility. You must be at least 18 years old and able to form a legally binding contract to use the Service. Toskr currently offers the Service only to customers in the United States and does not target or knowingly make the Service available to people or organizations outside the United States. You are responsible for setting and enforcing any age or eligibility rules for your own End Users.

By creating a paid account, beginning a paid subscription, or otherwise accepting these Terms through Toskr’s signup flow, you agree to these Terms, the Acceptable Use Policy, and any order or checkout terms presented to you. Toskr should record the version accepted, account identifier, timestamp, and method of acceptance.

3. The Service

Toskr provides managed hosting for a Matrix Synapse homeserver and associated client software. The features, resource limits, storage limits, supported integrations, and other plan characteristics are those shown in the applicable plan or checkout page.

Toskr operates infrastructure and performs service administration, but Toskr is not the Customer’s community moderator, employer, records custodian, or legal representative. The Customer remains responsible for deciding who may use its Server, how its community is governed, and what rules apply to its End Users, subject to these Terms and the AUP.

Toskr may change underlying software versions, infrastructure, vendors, or implementation details where reasonably necessary to operate, secure, maintain, or improve the Service, provided that material changes to the contractual Service are handled under Section 20.

4. Your account

You must provide accurate account and billing information and keep it current. You are responsible for safeguarding account credentials, administrative credentials, recovery information, and authentication devices under your control.

You must promptly notify Toskr at support@toskr.io if you reasonably believe your Toskr account or Server administrator credentials have been compromised.

You are responsible for activity performed through your account unless caused by Toskr’s own breach of these Terms or failure to use reasonable security measures.

5. Your Server and your End Users

You administer your Server and decide which End Users may access it. You are responsible for:

  1. authorizing and removing End Users;
  2. establishing community rules appropriate to your use of the Service;
  3. giving notices and obtaining consents required by law for your processing of End User data;
  4. responding to End User requests that are your legal responsibility; and
  5. taking reasonable action when Toskr informs you of abuse originating from your Server.

Where data-protection law uses concepts such as controller, processor, business, or service provider, the parties’ roles depend on the processing purpose. For Customer Content that Toskr processes solely to host the Service on the Customer’s instructions, the parties intend Toskr to act as a processor or service provider where that concept applies. Toskr acts for its own legitimate operational or legal purposes when it processes account administration, billing, fraud-prevention, security, abuse, legal-request, statutory-preservation, support, and similar business records.

Where required, a separate Data Processing Addendum will govern processor obligations and subprocessors.

6. Encryption and Toskr’s access

6.1 End-to-end encrypted rooms

For Encrypted Rooms, encryption and decryption occur on End User devices. Toskr does not possess the plaintext room-decryption keys or user recovery secrets needed to decrypt encrypted room content.

Synapse may store encrypted copies of session keys used by Matrix key-backup features, together with public and device key material. Toskr does not possess the End User recovery secret needed to decrypt those encrypted key backups. As a result, Toskr cannot use the information held by the Service alone to read the contents of messages or files in an End-to-End Encrypted Room.

This paragraph applies only to content actually protected by Matrix end-to-end encryption. It does not mean that all information associated with an Encrypted Room is hidden from the Homeserver.

6.2 Information the Service may process

Depending on how the Service is used and the final production configuration, Toskr may process information including:

Toskr can also process the contents of rooms, events, files, or other material that are not protected by end-to-end encryption.

The Privacy Policy describes Toskr’s current data categories, purposes, recipients, and retention practices in more detail.

6.3 What Toskr does not do with Customer Content

Toskr does not sell Customer Content, use Customer Content to build advertising profiles, serve targeted advertising against Customer Content, or use Customer Content to train general-purpose machine-learning models.

Toskr personnel do not intentionally access plaintext Customer Content except where:

Nothing in this Section promises that voice or video call media has a particular encryption property unless Toskr expressly documents that property for the deployed calling mode.

7. Acceptable use

You and your End Users must comply with the AUP. You are responsible for reasonable enforcement of the AUP within your community after receiving sufficient information to identify an issue.

Toskr does not undertake a general duty to proactively inspect Customer Content for violations. In particular, Toskr does not represent that it can inspect the plaintext of end-to-end encrypted messages. Toskr may nevertheless act on reports, legal notices, security signals, information supplied by complainants, and other information it lawfully receives.

8. Federation

Matrix Federation can cause events, profile information, room state, and other data to be sent to independently operated homeservers outside Toskr’s control.

If Federation is enabled and information is sent to another homeserver, Toskr cannot require that remote homeserver to delete its copy, change its retention practices, follow Toskr’s moderation decisions, or comply with Toskr’s privacy practices. Disabling or restricting Federation later does not recall information already sent to remote homeservers.

The exact Federation controls available to you are the controls documented by Toskr for the production Service. Room-level Federation settings and server-level Federation controls are not necessarily equivalent, and some room properties are established when the room is created.

You are responsible for understanding the consequences of enabling Federation for your community.

9. Third-party services

The Service may interact with third-party services, including payment processors, domain/DNS providers, email or push-notification services, object-storage services selected by a Customer, or other integrations.

If you choose or provide a third-party service, your relationship with that provider is governed by its terms. Toskr is not responsible for the independent acts or failures of a third-party service you select or control.

This does not eliminate Toskr’s responsibility for its own vendor choices or subprocessors where applicable law or a Data Processing Addendum imposes obligations on Toskr.

10. Fees, billing, taxes, and refunds

The price, billing interval, resource limits, and any trial terms are shown at checkout or in your order. You authorize Toskr and its payment processor to charge the payment method associated with your account for recurring fees and applicable taxes.

Unless required by law or expressly stated otherwise at purchase, fees are non-refundable and Toskr does not provide prorated or partial-period refunds. Cancelling a subscription stops future renewal but does not shorten the already-paid subscription period unless you separately request irreversible deletion under Section 12. An irreversible deletion request does not create a refund right.

You are responsible for taxes imposed on your purchase except taxes based on Toskr’s net income. Toskr may collect taxes where required.

If payment fails, Toskr may retry the charge, request updated payment information, and suspend or terminate the Service after giving a reasonable opportunity to cure where practicable.

11. Term, cancellation, suspension, and termination

Your subscription continues for the billing period shown at purchase and renews automatically until cancelled unless the checkout terms say otherwise.

You may cancel renewal through the account controls Toskr provides. Cancellation normally becomes effective at the end of the paid period.

Toskr may suspend or terminate the Service when Toskr reasonably believes that:

Where practicable and lawful, Toskr will give notice and an opportunity to address the problem before termination. Toskr may act immediately where delay would create a material security, legal, abuse, or safety risk.

Termination does not eliminate rights or obligations that by their nature should survive, including payment obligations, indemnification, liability limits, legal-preservation obligations, and Sections 15 through 22 as applicable.

12. Data retention and deletion

12.1 Normal cancellation

When your paid period ends after cancellation or termination, Toskr deletes the running Server and customer-specific infrastructure through its normal destruction workflow, subject to short-lived states reasonably necessary for fraud, chargeback, security, abuse, or legal handling.

The Customer’s separately addressable backup set is retained for 14 days after the paid period ends and then deleted through the normal backup-retention process.

12.2 Irreversible deletion request

Where Toskr offers an authenticated irreversible-deletion workflow, you may request deletion before the normal retention periods expire. When that workflow completes, Toskr deletes the running Server and the Customer’s separately addressable backup set.

An irreversible deletion request may make data unrecoverable and may end your ability to use the remaining paid subscription period. It does not create a refund right.

12.3 Disaster-recovery snapshots

Toskr’s platform-wide disaster-recovery snapshots may contain data for multiple customers in combined encrypted archives. Toskr’s normal backup architecture does not support selectively removing one Customer’s data from an existing commingled disaster-recovery archive.

Those archives age out under Toskr’s current rolling disaster-recovery schedule, which does not exceed 35 days.

12.4 Records retained for other purposes

Toskr may retain minimal account, billing, tax, security, abuse, support, and legal records for the period reasonably necessary for the purpose for which they are maintained or as required by law. The Privacy Policy provides additional retention detail.

12.5 Legal preservation

Normal deletion periods do not require Toskr to destroy information that Toskr is legally required to preserve. If a valid legal-preservation duty applies, Toskr may retain the affected material for the required period even if the Customer cancels or requests deletion.

Toskr will limit a legal hold to the material within the scope of the applicable preservation duty and will restrict access to preserved material where technically practicable. Material held solely for legal preservation is not returned to ordinary production use merely because it remains retained.

13. Backups and disaster recovery

Toskr maintains backups and disaster-recovery processes on a best-effort basis. They are designed to assist Toskr in recovering the Service from operational failure; they are not a substitute for copies or exports that you are independently required to maintain.

Toskr does not warrant that every item of Customer Content can be recovered after data loss, corruption, disaster, software failure, or administrative error.

A Server restore does not guarantee that End Users will be able to decrypt all historical end-to-end encrypted content. Decryptability depends on key material retained on End User devices and, where enabled, encrypted key backups and the recovery secrets controlled by the End User. Toskr does not warrant recovery of End User-held decryption secrets.

14. Availability and support

The Service is provided without a contractual uptime service-level agreement unless Toskr expressly agrees to one in a separate written order.

Toskr does not promise a particular uptime percentage and does not provide automatic service credits for downtime under these Terms.

Support is provided on a best-effort basis through support@toskr.io. Response times may vary based on severity, staffing, and workload. Toskr may prioritize security incidents, service-wide outages, legal obligations, and abuse emergencies over ordinary support requests.

15. Legal requests, preservation, and emergencies

15.1 Compelled disclosure

Toskr requires legal process that is valid, applicable to Toskr, and properly served before producing Customer records, except where applicable law permits or requires disclosure without that process.

15.2 Scope and challenge

When Toskr reasonably concludes that a request is facially defective, unlawful, or materially overbroad, Toskr may seek clarification, narrowing, objection, or challenge where there is a lawful and practical basis to do so. Toskr does not promise to litigate every request.

15.3 Preservation requests

A lawful preservation request may require Toskr to preserve specified records or other evidence beyond Toskr’s ordinary retention period. Preservation does not itself mean that the preserved material has been produced to the requesting party; production requires the legal basis applicable to that production.

15.4 Statutory reporting and preservation

Certain laws may impose separate reporting or preservation obligations on Toskr. Those obligations may override the ordinary deletion schedule for the specific material covered by the law.

15.5 Emergencies

Where applicable law permits emergency disclosure, Toskr may disclose information if Toskr forms the legally required good-faith belief concerning an emergency involving danger of death or serious physical injury. Toskr may authenticate and document emergency requests separately from ordinary legal process.

15.6 Customer notice

Toskr’s policy is to notify the affected Customer of a governmental demand before disclosure when legally permitted and operationally practicable. If notice is legally prohibited, Toskr may provide notice after the prohibition expires where lawful and appropriate.

Toskr may withhold notice where law prohibits it or where Toskr reasonably concludes, on a lawful basis, that notice would create a serious safety risk or materially interfere with a legally authorized emergency response.

15.7 What Toskr may be able to produce

Depending on the request and what Toskr actually retains, responsive information may include account and billing records, security and operational records, limited Matrix metadata, unencrypted Customer Content, and encrypted material in Toskr’s possession.

For end-to-end encrypted content, Toskr cannot provide plaintext it does not possess or user recovery secrets it does not control.

15.8 Transparency reporting

Toskr will publish an aggregate transparency report at least annually at https://toskr.io/transparency. The report may include categories such as compelled demands, preservation requests, emergency requests, and account or content actions where reporting is lawful.

The first report is intended to be published within 12 months after commercial launch. Toskr may delay, combine, or omit a category where publication is prohibited by law or would itself disclose protected information.

16. Warranties and disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TOSKR DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

Toskr does not warrant that the Service will be uninterrupted, error-free, immune from attack, or capable of recovering every item of Customer Content.

Nothing in these Terms excludes a warranty or right that applicable law does not permit the parties to exclude.

17. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE TO THE OTHER FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST BUSINESS OPPORTUNITY, OR LOSS OF DATA, ARISING OUT OF OR RELATING TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF THOSE DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TOSKR’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE FEES PAID BY CUSTOMER TO TOSKR FOR THE SERVICE DURING THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

These limitations do not apply to liability that applicable law does not permit to be excluded or limited.

18. Indemnification

To the extent permitted by law, Customer will defend, indemnify, and hold harmless Toskr and its officers, employees, and agents from third-party claims, damages, judgments, penalties, costs, and reasonable attorneys’ fees arising from:

Toskr will provide reasonable notice of an indemnified claim and reasonable cooperation at Customer’s expense. Customer may control the defense and settlement, but may not settle a claim in a way that admits fault by Toskr, imposes non-monetary obligations on Toskr, or requires Toskr to pay money without Toskr’s written consent.

19. Trade controls and sanctions

You may not use the Service in violation of applicable export-control, sanctions, or trade-restriction laws.

You represent that, to the extent the representation is applicable to you, you are not a person with whom Toskr is prohibited from doing business under applicable sanctions law and that you will not knowingly make the Service available in a manner prohibited by those laws.

Toskr may screen customers or transactions, request information to resolve a potential match, reject transactions, restrict access, or suspend or terminate service where reasonably necessary to comply with applicable trade-control or sanctions obligations.

20. Changes to these Terms and the AUP

Toskr may update these Terms and the AUP from time to time. Each version will have an effective date or version identifier.

For a material change that adversely affects Customer rights or materially increases Customer obligations, Toskr will provide reasonable advance notice, ordinarily at least 30 days, unless a shorter period is reasonably necessary because of law, security, abuse prevention, or an urgent technical change.

Toskr may require renewed acceptance where the nature of a change, applicable law, or counsel requires it. Continued use after the effective date may constitute acceptance where legally permitted and where the notice so states.

The AUP may be updated separately from these Terms. Toskr will not treat separate AUP versioning as permission to silently make a material change to the parties’ bargain.

21. Governing law; courts; jury and class-action waivers

These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law rules, except to the extent federal law applies.

Subject to any jurisdictional right that cannot lawfully be waived, the state courts located in Sheridan County, Wyoming and the United States District Court for the District of Wyoming will have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Service, and each party consents to personal jurisdiction and venue there.

JURY TRIAL WAIVER. TO THE MAXIMUM EXTENT PERMITTED BY LAW, EACH PARTY KNOWINGLY AND VOLUNTARILY WAIVES ANY RIGHT TO A TRIAL BY JURY IN A DISPUTE ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE.

CLASS-ACTION WAIVER. TO THE MAXIMUM EXTENT PERMITTED BY LAW, EACH PARTY AGREES TO BRING CLAIMS ONLY IN ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN A PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION.

These Terms do not require arbitration.

22.2 Assignment

You may not assign these Terms without Toskr’s prior written consent, except in connection with a merger, reorganization, or sale of substantially all assets relating to the account if the assignee agrees to these Terms and is legally eligible to receive the Service. Toskr may assign these Terms in connection with a merger, reorganization, financing, sale of assets, or transfer of the Service.

22.3 Force majeure

Neither party is liable for failure or delay caused by events beyond its reasonable control, except that this Section does not excuse payment obligations for Service already provided or legal obligations that cannot be excused by contract.

22.4 No waiver; severability

A failure to enforce a provision is not a waiver. If a provision is held unenforceable, the remaining provisions remain in effect to the maximum extent permitted by law.

22.5 Entire agreement and order of precedence

These Terms, the AUP, any applicable Data Processing Addendum, and any written order form or checkout terms constitute the agreement concerning the Service and supersede prior discussions concerning the same subject.

If documents conflict, the following order applies unless a later document expressly states otherwise: (1) a signed order form; (2) a Data Processing Addendum for data-protection matters; (3) these Terms; and (4) the AUP.
